No. Cloth Armor's Shield is printed in its Effect Text box (below the Quick-Draw/Equip line), and Effect Text is Inactive unless the card is Attached (Rules 136.2.b, 724). Lady of Clockwork makes the gear into a unit gear — granting unit properties — but it does not Attach it to anything, so the Shield 2 is inactive and the gear-unit gets no +2 Might while defending (Rule 721.2, and same logic as FAQ #12757 for Warmog's Armor).

The Rules Text on the card stays live: it keeps Quick-Draw and Equip [C], so it can still be equipped to a unit you control while it's a unit gear.
